Company Registered Office Change
Section 12 of The Companies Act makes it mandatory for every company to maintain a registered office at all times. In case of changes, the same must be formally reported to the ROC.
The Process of Relocation
The registered office of the company may be shifted from one place to another by following the procedure prescribed in the Companies Act and Rules made thereunder. However, the process and documentation are highly dependent on the nature of the change.
You are required to file form INC-22 within 30 days of such change. Except for a change within the local limits of the same city, you often need to take prior approval from the ROC (Registrar of Companies) or RD (Regional Director).
Four Scenarios of Relocation
1. Within Local Limits
Moving within the same city, town, or village. The simplest procedure requiring only a Board Resolution and INC-22.
2. Within Same ROC
One city to another, but under the same ROC jurisdiction (e.g., Pune to Mumbai). Requires a Special Resolution in an EGM.
3. One ROC to Another
Changing jurisdiction within the same state (e.g., Maharashtra has two ROCs). Requires approval from the Regional Director.
4. Inter-State Relocation
From one state to another. A highly complex process involving Central Government approval and alterations to the Memorandum of Association (MOA).
List of Required Documents
Regardless of the scenario, providing accurate proof of the new address is mandatory. You will need:
- Title Document: If the new address is owned by the company.
- Rent Agreement: Valid agreement along with the latest Rent Receipt if the property is leased.
- Utility Bill & NOC: The latest utility bill (electricity, water, gas) not older than 2 months, plus a No Objection Certificate from the owner.
- Board Resolutions: Copy of the resolution passed by the board authorizing the shift.
- Professional Certification: Certification by an practicing professional (CA/CS/CMA) for the INC-22 form.
